Selzee Terms and Conditions

1. Introductory Provisions

• These GTC govern rights and obligations between the Provider and the business entity (User) regarding the provision of a software solution. Both parties act as business entities, not consumers.
• The User is exclusively a person registered in the commercial or trade register who orders and uses the service for business purposes.
• By entering into a contract or activating the service, the User agrees to these GTC.
• By creating an account or using the digital product, the User expresses consent to the Provider’s terms and conditions.

2. Service Provider

3. Service Subject

• The Provider ensures access and use of the Selzee software solution to the User.
• The Selzee application is provided online.
• The contract is concluded between the Provider and the User for a license to use Selzee.
• Only a business entity (individual or legal) using a login email and password can be a User.
• The digital product is not available to consumers. If a consumer registers, the Provider declares such an offer will not be accepted.
• The User’s registration (creating an account and agreeing to the GTC) is considered an offer to conclude a contract.
• Acceptance occurs upon a confirmation screen or confirmation email from the Provider. The contract is concluded for an indefinite period.
• The Account is the User’s account within the Application. Account deletion irreversibly removes User accounts and data.

4. Orders and Contract

• An order becomes binding upon Provider confirmation or after product installation.
• The contractual relationship begins upon service activation or its first use by the User.

5. Pricing and Payment Terms

• The service price is set per the current price list at selzee.com or as individually agreed.
• Monthly payments are made automatically using the User’s payment details; otherwise, payment is based on issued invoice.
• The Provider may suspend the service if payment is delayed. Monthly pricing applies even to partial months. Prices are without VAT; VAT is added by law.
• Disputes over invoiced amounts must be raised by the due date; the Provider responds within 14 days.
• Billing period changes require mutual agreement.
• Payment delayed more than 10 working days may result in account blocking until payment.
• If blocked over a month, automatic processes and API connections may be interrupted. Late payments incur a 0.5% daily penalty.
• If full payment is not received by due date, the Provider may suspend services and withhold returned customer products in its possession.

6. Contract Duration and Termination

• The contract is valid for an indefinite period.
• The Provider may terminate immediately if the User breaches terms or delays payment by more than 14 days.
• The User may unilaterally terminate the service.

7. Provider’s Rights and Obligations

• Ensure service functionality, technical support, and data protection.
• The application (including mobile) is copyrighted; all proprietary rights belong to the Provider. No trademark or IP rights are granted to the User.
• Maintain operation of the application.
• Service interruptions from unavoidable events or maintenance do not constitute a breach.
• The Provider is not liable for damages to the User or others from using the application.
• No liability for breaches caused by force majeure or uncontrollable conditions.
• Compensation for Provider-caused damages is limited to the equivalent of one month’s application fee.
• The Provider is not responsible for ensuring generated documents comply with legal standards.

8. User’s Rights and Obligations

• Use the service only for business purposes and do not share it with third parties without consent.
• Do not reverse-engineer, copy, or distribute the service without written permission.
• Provide accurate billing and contact details during registration and keep them updated; invoices are sent to the registration email.
• Agree to receive commercial communications (can be withdrawn at any time).
• Protect access credentials; the Provider is not liable for unauthorized access.
• If a third party claims IP or legal violations, the User assumes responsibility.
• Do not sell or transfer the application to third parties without consent.
• Be fully responsible for data and content processed through the application and comply with Slovak law.
• Pay agreed fees properly and on time per the price list.

9. Liability and Limitation of Responsibility

• The Provider is not liable for internet outages, third-party actions, or misuse of the service.
• Maximum liability is limited to one month’s service fee.

10. Data Protection and Confidentiality

• The User must maintain confidentiality of any information received through the service.
• The Provider processes personal data only to the extent necessary and in accordance with applicable laws.
• Both parties agree not to disclose confidential information obtained during service delivery, even after contract termination.
